  • Identity verification became compulsory for new directors and PSCs on 18 November 2025. Existing directors must confirm verification with their next confirmation statement during a 12-month transition.
  • A PSC has 14 days to submit their verification statement and personal code.
  • Franchise tax and the annual report are due by 1 March each year. Late filing carries a $200 penalty plus 1.5% interest per month.
  • The minimum franchise tax is $175 under the Authorised Shares Method but $400 under the Assumed Par Value Capital Method — the default calculation often produces a far larger figure than the alternative.
